  1. 1. Our Role

    Atlas Protocol Holdings LLC ("Atlas Protocol," "we," "us") operates a technology platform that connects patients with licensed healthcare providers and with independently owned and operated pharmacies.

    • We are not a pharmacy. We do not manufacture, compound, dispense, distribute, repackage, label, or ship medication. We do not take possession of, store, or handle any prescription drug product at any point.
    • We are not a manufacturer, wholesaler, or distributor of pharmaceutical products, and we do not hold ourselves out as any of the foregoing.
    • We do not practice medicine. Clinical decisions — including whether to prescribe, what to prescribe, and at what dose — are made solely by licensed healthcare providers exercising their own independent professional judgment. We do not direct, control, or influence those decisions.
  2. 2. Our Pharmacy Network

    We maintain relationships with a network of independently owned and operated pharmacies (each, a "Partner Pharmacy"). Partner Pharmacies are separate legal entities. They are not owned, controlled, or operated by us, and they are not our agents, employees, or representatives.

    Each Partner Pharmacy is responsible for:
    • Verifying and dispensing prescriptions in accordance with applicable federal and state law
    • Exercising independent professional judgment, including the pharmacist's corresponding responsibility to review each prescription before dispensing
    • Its own licensure, permits, registrations, accreditation, and regulatory compliance
    • The preparation, labeling, packaging, storage, handling, and shipment of all medication it dispenses
    • Its own privacy, security, and recordkeeping obligations under applicable law

    We do not select which pharmacy fills a given prescription in a manner that overrides patient choice. Pharmacy access is determined by the patients state which determines a pharmacy holding licensure in that state, along with the course of treatment the patient is requesting matching the prescribed medications to a pharmacy who can fill the prescribed medications.

  3. 3. Pharmacy Licensure

    Each Partner Pharmacy holds a pharmacy license in good standing in its home state, and holds such nonresident, out-of-state, or equivalent pharmacy licensure or registration as is required by the state to which a prescription is shipped. A Partner Pharmacy will not ship a prescription into a state in which it is not authorized to dispense.

    Licensure status is maintained and verified by each Partner Pharmacy.

  5. 5. Compounded Preparations

    Certain preparations dispensed by Partner Pharmacies are compounded and are not FDA-approved products. Compounded preparations are not reviewed by the FDA for safety, effectiveness, or manufacturing quality prior to marketing. They are prepared by a licensed pharmacy pursuant to a valid prescription for an individually identified patient.

  6. 6. No Guarantee of Fulfillment

    A prescription issued through the platform is subject to the receiving pharmacy's independent verification and to product availability. A Partner Pharmacy may decline to fill a prescription in the exercise of its professional judgment or where required by law. We do not guarantee that any prescription will be filled, or filled within any particular timeframe.
