  1. 1. Our Role

    Atlas Protocol Holdings LLC ("Atlas Protocol," "we," "us") operates a technology platform that connects patients with licensed healthcare providers and with independently owned and operated pharmacies.

    • We are not a pharmacy. We do not manufacture, compound, dispense, distribute, repackage, label, or ship medication. We do not take possession of, store, or handle any prescription drug product at any point.
    • We are not a manufacturer, wholesaler, or distributor of pharmaceutical products, and we do not hold ourselves out as any of the foregoing.
    • We do not practice medicine. Clinical decisions — including whether to prescribe, what to prescribe, and at what dose — are made solely by licensed healthcare providers exercising their own independent professional judgment. We do not direct, control, or influence those decisions.
  2. 2. Our Partner Telehealth Network

    We maintain relationships with a network of independently owned and operated professional medical corportations (PC's) (each, a "Partner Telehealth Provider"). Partner Telehealth Provider are separate legal entities. They are not owned, controlled, or operated by us, and they are not our agents, employees, or representatives.

    Each Partner Telehealth Provider is responsible for:
    • Verifying patient identity, clinical indications, clinical protocols, prescription writing when clinically supported.
    • Maintaining thier medical practice licensing, medical provider licensing, medical malpractice insurance coverage and maintaining each in accordance with applicable federal and state law
    • Exercising independent professional judgment, including the clinitians corresponding responsibility to review each patients medical history, identity and engaging in clinical telehealth encounters which comply with or exceed Federal or State minimum requirements for telehealth consultations.
    • Its own licensure, permits, registrations, accreditation, and regulatory compliance
    • The management of all patients under their care
    • Its own privacy, security, and recordkeeping obligations under applicable law
  3. 3. Telehealth Network Licensure

    Each Partner Telehealth Network holds a medical license in good standing or maintains reciprocity in all states they practive medicine in. Each clinician or provider also and holds resident or when appropriate, nonresident, out-of-state, or equivalent medical licensure or registration as is required by the state to which a patient resides and is the basis of the state of treatment. A Telehealth Network Partner and/or its clinicians will not consult with a patient of engage in telehealth for a state in which it is not authorized to dispense.

    Licensure status is maintained and verified by each Partner Telehealth Network.

  5. 5. Compounded Preparations

    Certain preparations prescribed and dispensed by partner pharamcies as requested by Partner Telehealth Providers are compounded and are not FDA-approved products. Compounded preparations are not reviewed by the FDA for safety, effectiveness, or manufacturing quality prior to marketing. They are prepared by a licensed compounding pharmacy (503A or 503B) pursuant to a valid prescription for an individually identified patient. A partner Telehealth provider may prescribe such medications when there are clinical indications that warrant the utilization of such compounded medications instead of commercially available alternatives. All prescribed compounded medications that have commercially available counterparts are documented by the clinician as to the reason and rational for utilization of a compounded medication.

  6. 6. No Guarantee of Fulfillment

    A prescription issued through the platform is subject to the receiving pharmacy's independent verification and to product availability. A Partner Pharmacy may decline to fill a prescription in the exercise of its professional judgment or where required by law. We do not guarantee that any prescription will be filled, or filled within any particular timeframe.
